Preliminary Buyer Qualification

Before confidential information is released, prospective buyers are typically screened to determine whether they represent a legitimate and appropriate fit for the business opportunity. This preliminary qualification process may include discussion regarding the buyer’s professional background, industry experience, financial capability, acquisition objectives, and overall understanding of the business being considered.

The purpose of this process is to help protect the confidentiality of the seller while ensuring that detailed information is shared only with qualified parties, demonstrating a genuine interest and reasonable capability to complete an acquisition. 

Confidentiality & Potential Conflicts

In certain situations, prospective buyers may have existing relationships within the seller’s industry, including competitors, customers, vendors, or other market participants. To help protect sensitive business relationships and confidential information, potentially sensitive names or affiliations may first be reviewed with the seller prior to proceeding with the qualification process or execution of a Confidentiality Agreement (NDA).

This additional step helps avoid situations in which confidential information is inadvertently disclosed to parties that could present a competitive or business conflict concern for the seller.

Buyer’s Non-Disclosure Agreement

To protect the confidentiality of our sellers, all buyers must complete and sign a Non-Disclosure Agreement (NDA) before receiving detailed information about any listed business, including the business name, specific location, financial statements, and other proprietary details.

What the NDA Covers

• Confidential treatment of all business information disclosed
• Prohibition on contacting the business owner, employees, or customers directly
• Agreement not to use information for any purpose other than evaluating the acquisition
• Return or destruction of confidential materials if the acquisition is not pursued
